1. Agreements signed between DIRECA and Partners

Before signing the agreement, the technical teams of both parties meet to discuss the terms of the agreement. The legal opinion of the legal advisor of DIRECA is a precondition for signing the agreement. The agreement regarding the execution of a specific task, herewith referred to as a contract, has a specified period of execution of the task. The contract specifies the start and end period of the contract and specifies the responsibilities of each partner. The implementation of the contract strictly bases on the agreed terms and these include when to start and end; how and when to report and whom to report to; when to pay advance and instalments; when to remind; to stop and seek legal opinion; to make complaints. Generally, all payments stipulated in the agreement/contract have to be paid for the task (s) to be executed. If payments are not paid on the agreed time, the concerned partner is notified and reminded to pay his/her due. If he/she does not comply, DIRECA management officially write to him/her according additional time which can't exceed two weeks and this leads to the termination of contract in case of non-compliance.

2. Services offered by DIRECA

All the services offered by DIRECA have specifications to guide the choices of users/customers. If the user/customer of our service decides to buy or register to our service, the rights and responsibilities of the customer are respected taking into account the following:

A. A customer registering to our service but he/she has not committed any payment, he/she has one day to cancel the registration;

B. A customer/user who has already paid for our service but decides to decline our service, he/she has two days to complain in writing to DIRECA:

If the decline is caused by the poor service or failure of DIRECA, i.e lack of some requirements/specifications, difficult to access service, poor content, delays, etc. In this case, the customer gets response within 5 days and all the amount of money is refunded if his/her complaint is justified. If the complaint is not justified, the money is refunded but with a retention of 8 % of the amount of money paid. The refund is done in five days following the day the response was received by the customer;

If the costumer voluntarily declines our service after starting using it, he/she writes to DIRECA management to notify it and after examining the request, the money will be refunded after deducting the amount of money already used. The refund is done in five days following the day the response was received by the customer; If the customer has consumed/used all our service, he/she has no right to complain; The complaint introduced after consuming 50% of our service and not motivated by our failure to fulfil our obligations and responsibilities will not be received. 3. Cancellation Policy

When a service is delivered to you immediately, you will not have the right to change your mind .In other cases, you may change your mind within seven (7) days of purchase, so long as the service is not provided to you. If you do wish to cancel, please contact us via email info@direcatec.com It is your responsibility to ensure that you meet the system requirements, including compatible hardware and software prior to purchasing the service. We are unable to provide refunds where your access to the service is inhibited due to insufficient system requirements. We may restrict your access to the service if you breach these terms, including without limitation: a) A failure to make any payment due to us; or b) Failure to provide accurate information that is necessary for us to provide the Service to you In these circumstances, we will inform you in writing with seven (7) days notice that your access to the Service will be restricted. To reduce last-minute cancellations and the risk of "e ;charge backs " from customers, it is always good that customers agree and comply to this cancellation and refund policy.

4. Intellectual Property

All rights, title and interest in intellectual property rights relating to the Service including copyright, patents, trademarks, trade secrets, improvements, developments, proprietary information, know-how, processes, methods, business plans or models (including computer software and preparatory and design materials thereof) and all other intellectual property (whether registered or not) developed or created from time to time shall exclusively be owned by DIRECA. While you may utilize the intellectual property, you understand that there shall be no transfer of ownership of the same. Nothing that you see or read in the service may be copied, reproduced, modified, distributed, transmitted, republished, displayed or performed for commercial use.
